Notice is hereby given that the Marion County Industrial Development Authority (the “Authority”) will hold a meeting on July 22, 2019, beginning at 10:00 am, or as soon thereafter as possible, in the CEP Boardroom at the offices of the Ocala/Marion County Chamber and Economic Partnership, located at 310 SE 3rd Street, Ocala, Florida 34471 for the following purposes:
1. Consider the proposed issuance and sale of the Authority’s Manufacturing Revenue Bonds (Fidelity Manufacturing LLC Project), Series 2019 in an aggregate principal amount not to exceed $6,000,000.00 (the “Bonds”). The proceeds of the Bonds will be loaned by the Authority to Fidelity Manufacturing LLC, a Florida limited liability company, and/or an affiliate, subsidiary, or related entity thereof (the “Borrower”) and used for the purpose of financing and/or refinancing the acquisition, improvement, and equipping of one or more facilities located at 1101 SW 37th Ave. Ocala, FL 34474, and 1900 NE 25th Avenue, Ocala, Florida 34470, to be used as manufacturing facilities to manufacture diesel tanks, trailers, stairs and platforms, and enclosures for diesel generators (the “Project”). The Project is owned and/or operated by the Borrower or an affiliate, subsidiary, or related entity thereof.
2. Consider approving and authorizing the execution and delivery of a financing agreement to provide security for the Bonds and certain other documents related thereto; authorizing the chairman of the Authority to award the direct placement of the Bonds to BBVA Mortgage Corporation, an Alabama corporation or a related entity thereto; approving the conditions of the direct placement; and making certain other appointments and providing certain other details.
3. Consider approving and authorizing such other actions by the Authority as may be necessary and appropriate in connection with the proposed issuance and sale of the Bonds.
4. Consideration of presentation to be made by Mr. Brad Dinkins of Fidelity Manufacturing LLC regarding fees payable in connection with the Bond issue.
5. Consider such other matters as may be properly brought before the Authority.
All interested or affected taxpayers, property owners and citizens of Marion County, Florida, are invited to attend, either personally or through their representatives, and will be given opportunity to express their views concerning the matters addressed during the time provided for public comment. Anyone desiring to make written comments may file them with the Marion County Industrial Development Authority, c/o Ocala/Marion County Chamber & Economic Partnership, 310 SE 3rd Street, Ocala, Florida 34471. Comments made at the meeting are for the consideration of the Authority and will not bind the Authority as to any action it may take. SHOULD ANY PERSON DECIDE TO APPEAL ANY DECISION MADE BY THE AUTHORITY WITH RESPECT TO ANY MATTER CONSIDERED AT SUCH MEETING, SUCH PERSON WILL NEED A RECORD OF THE PROCEEDINGS AND, FOR THAT PURPOSE, SUCH PERSON MAY NEED TO ENSURE THAT A VERBATIM RECORD OF THE PROCEEDING IS MADE, WHICH RECORD INCUDES THE TESTIMONY AND EVIDENCE UPON WHICH THE APPEAL IS TO BE BASED.
